Veluno Terms of Service

Welcome to Veluno!

These Terms of Service (referred to as the “Terms”) set forth the rules that govern your use of our video-focused platform — a digital space where users can find popular creator-uploaded videos, stream, share and explore all content free of charge — and form a legally binding agreement between you and Veluno. By accessing or using any of our platform Services, you confirm that you accept and agree to abide by every provision in these Terms. If you do not agree with any part of these Terms, you must stop accessing and using our platform Services immediately.

Important Notice

This agreement contains a binding arbitration clause detailed in Section 18. With the exception of certain narrow dispute categories such as intellectual property infringement claims, both you and Veluno agree to resolve all disputes through binding arbitration, and both parties waive the right to bring or participate in class action lawsuits.

1. Eligibility Requirements

• Minimum Age: You must be at least eighteen years old to register an account or access Veluno’s full platform Services. Some premium features, if released in the future, may have a higher minimum age requirement, which will be clearly shown when you first access that feature.
• Legal Capacity: By using Veluno’s services, you confirm that you have the full legal capacity to enter into a binding agreement, comply with all terms in this document, and follow all applicable local, national and international laws and regulations.
• Entity Use Authorization: If you access Veluno on behalf of a business or government organization, you confirm that you have the full authority to bind that entity to all terms in these Terms.
• Minor Access Prohibition: Anyone under the age of eighteen is strictly prohibited from registering an account or using Veluno’s platform Services. We reserve the right to permanently terminate accounts we believe belong to underage users without prior notice.

2. User License

• Personal Use License: Veluno grants you a personal, worldwide, royalty-free, non-transferable license to access and use all of our platform Services — including finding trending user-submitted videos, streaming, sharing and browsing content — solely for their intended purposes. This license is valid only as long as you fully comply with all provisions of these Terms.
• Automatic Updates: Our platform Services may automatically download and install software updates, such as fixes for video playback issues and new feature releases. You can turn off automatic updates in your mobile device’s system settings.
• License Restrictions: You may not copy, modify, sell, reverse engineer or sublicense Veluno’s proprietary software and services without prior written approval from Veluno’s management team.

3. Content License to Veluno

• Ownership of Your Content: When you create, upload or share any media — including videos, public comments, photos and captions, collectively called “Your Content” — you keep full legal ownership of all Your Content. However, you grant Veluno a worldwide, royalty-free, sublicensable license to host, store, display, stream, format adjust (for example, optimizing video resolution for different device screen sizes) and distribute Your Content. This license is only used to support the operation, maintenance and improvement of our video platform, including making your uploaded videos available to other users on the platform.
• License for Public Content: For all media you post in public areas of the platform such as trending video feeds and public comment sections, you grant Veluno a perpetual, worldwide, royalty-free, sublicensable license to publicly broadcast, display, reproduce and create derivative works from that content. For example, we may feature your uploaded video in a curated “Top Viral Videos” compilation. This license also allows us to show your full name and profile image alongside your published content, with no requirement to pay you additional compensation.
• Content Moderation Rights: Veluno has the right to review, remove or modify any of Your Content at any time, such as deleting videos that violate these Terms. However, we have no legal obligation to actively monitor all user-generated content on the platform. You are solely responsible for all Your Content that you post on Veluno.
• Advertising Consent: You agree that Veluno may show commercial advertisements across all platform Services as a condition of your free access to video browsing and content sharing features.

4. Your Responsibility for Uploaded Content

• Full Liability for Content: You are fully legally responsible for all Your Content that you publish on Veluno. You must ensure that your uploaded content does not infringe on any third-party rights — including copyright for background music in your videos and trademark rights — and does not violate any applicable local or national laws, such as laws against defamation or obscenity.
• Prohibited Content: You may not upload or share content that is illegal, harmful, discriminatory (based on race, gender, religion or other protected characteristics), graphically violent, sexually explicit, or that promotes harassment, exploitation or criminal activity. This prohibition includes child sexual abuse material (CSAM), hate speech, and footage of illegal acts being committed.
• Reporting Violations: You can report illegal or inappropriate content, such as violent videos, using our built-in reporting tool or by emailing our official service inbox: [email protected]. Our team has the right to remove violating content and suspend or terminate user accounts after confirming a breach of these Terms.

5. Privacy of Your Data

Protecting your personal privacy is a top priority for our team. Our official Privacy Statement, accessible within the Veluno mobile application, explains in detail how we collect, use and share your personal data in connection with our video platform Services. By using any Veluno service, you fully consent to all data practices described in that Privacy Statement.

6. Prohibited Conduct

You may not engage in any of the following activities while using Veluno’s Services:

• Harassing, threatening, intimidating or impersonating other users. Examples include posting abusive comments on other creators’ videos and pretending to be another person.
• Tampering with the platform’s security systems, bypassing access controls, or using automated tools such as bots to scrape video data, artificially increase video view counts or disrupt normal platform operation.
• Uploading or spreading malicious software, spam messages or illegal content including child sexual abuse material (CSAM) through any part of our platform Services.
• Using Veluno’s features for commercial purposes without prior written approval from our management team. Examples include selling physical goods through video comments and advertising external services.
• Infringing on third-party intellectual property rights, such as uploading videos with copyrighted music without permission, or bypassing digital rights management (DRM) systems built into the platform.
• Participating in money laundering, fraud or exploitation of vulnerable people. This includes all activity involving child sexual abuse material (CSAM), which we enforce with a strict zero-tolerance policy.

Zero-Tolerance Child Safety Policy

Veluno has an unwavering zero-tolerance policy for all child sexual abuse material (CSAM) on our platform. Report any suspected prohibited material immediately. Our team will remove all related content, suspend or permanently ban the responsible account, and fully cooperate with law enforcement authorities during any investigation.

7. Copyright Policy

Veluno fully respects the intellectual property rights of creators and rights holders. If you believe in good faith that any content on Veluno, such as a user-uploaded video, infringes your copyright, please send a written infringement notice to [email protected] containing all of the following information:

• Your physical or electronic signature.
• A detailed description of the copyrighted work you claim has been infringed.
• The exact location of the infringing content, including full video URLs or instructions on how to find it in the app.
• Your full contact information: name, mailing address, phone number and email address.
• A sworn statement, made under penalty of perjury, that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.

Registered users who repeatedly commit verified copyright infringement may have their Veluno accounts permanently terminated.

8. Account Rules

• Account Security: You are fully responsible for keeping your account login credentials secure, including keeping your password confidential. You may not share your login information or access your Veluno account through unauthorized third-party software.
• Account Usage Rules: You may not register multiple duplicate accounts unless explicitly allowed by official platform guidelines, sell or transfer your account, or reactivate accounts that were disabled for policy violations.
• Reporting Unauthorized Access: If you notice signs of unauthorized access to your account, such as unknown videos uploaded without your action, contact our support team immediately at [email protected].

9. Content Moderation

• Automated and Human Review: Veluno uses two review systems: automated content detection software designed to identify violent or sexually explicit video content, and trained human moderators who review all published content for policy violations. However, we cannot guarantee 100% accurate detection of all types of prohibited content uploaded by users.
• User Reporting: You can flag inappropriate content including harmful videos and spam comments using our built-in reporting tool. Our moderation team aims to complete all reported violation reviews within 24 hours, and may remove violating content or issue temporary or permanent account suspensions after confirming a policy breach.

10. In-App Purchases and Payments

If Veluno releases optional premium features or virtual products in the future — such as ad-free video streaming or access to exclusive locked trending content:

• Transparent Pricing: All prices will be clearly shown to you before you complete any purchase. All payment processing will be handled by authorized third-party payment providers such as the Apple App Store and Google Play Store.
• No Refund Policy: Except where required by applicable consumer protection laws such as EU consumer regulations, all completed purchases are final and non-refundable. All subscriptions will renew automatically unless you cancel your subscription through your app store account at least twenty-four hours before the next billing date. Canceling your subscription does not entitle you to a refund for any unused portion of your current subscription period.
• EU Consumer Rights: Users residing in the European Union may request a full refund for subscription purchases within fourteen calendar days of purchase. This refund right applies only if you have not accessed or used any premium features during that fourteen-day period.

11. Mobile Data Charges

You are fully responsible for all mobile data charges, text messaging fees and other telecommunications costs incurred while using Veluno’s Services, such as streaming videos or uploading videos over a cellular network. Please contact your mobile service provider for details about data rates and billing.

12. Anti-Slavery and Anti-Human Trafficking Policy

Veluno prohibits all forms of slavery, human trafficking and exploitation of vulnerable people. Report any suspected violations to our official email address [email protected]. Our management team will conduct a full investigation, remove all violating content, and cooperate fully with relevant law enforcement authorities.

13. Anti-Fraud and Compliance

• Scam Prevention: Do not send money, share financial information such as credit card details, or enter into suspicious financial transactions with other platform users. Report all confirmed scams, such as users requesting payment through video comments, to our service inbox at [email protected].
• Anti-Money Laundering (AML) Compliance: Veluno may request government-issued identity documents to meet mandatory anti-money laundering legal requirements. Refusing or failing to provide the requested identification may result in temporary suspension of your account access.

14. Service Changes and Account Termination

• Service Modification Rights: Veluno reserves the right to launch new features such as in-app video editing tools, remove existing features, temporarily suspend service or discontinue all Veluno services at any time, with or without prior notice. We will take reasonable steps to notify registered users of major changes to core services, such as permanent removal of core video-sharing functionality.
• Account Suspension and Termination: Our management team may temporarily suspend or permanently terminate your account and revoke all access to our Services for confirmed violations of these Terms, prolonged account inactivity, or harmful user conduct, with or without prior written notice. After account termination, you lose all access to platform features, including your uploaded videos and any purchased premium services.

15. Indemnification

You agree to indemnify, defend and hold harmless Veluno, its affiliated companies, directors, employees and authorized third-party agents from all claims, damages, liabilities, costs and legal fees (including full attorney fees) arising from your use of Veluno’s Services, any Your Content you post on the platform (such as copyright infringement lawsuits resulting from your uploaded videos), or any confirmed breach of these Terms.

16. Disclaimers

• As-Is Service: All Veluno Services are provided on an “as is” and “as available” basis without any express or implied warranties of any kind. We do not guarantee uninterrupted service, error-free video playback, or the complete accuracy and safety of all user-generated content on the platform.
• No Liability for User-Generated Content: Veluno is not legally responsible for offensive, illegal or misleading content posted by other users, including harmful videos and false comments. You access all user-generated content on the platform at your own risk.

17. Limitation of Liability

Veluno and its partner entities will not be liable for any indirect, consequential or punitive damages of any kind. Our total maximum aggregate liability for all claims shall be the greater of one hundred United States Dollars (USD 100) or the total amount you have paid to Veluno in the previous twelve consecutive calendar months.

18. Binding Arbitration

• Dispute Resolution: Most disputes between you and Veluno must be resolved through binding arbitration instead of court litigation. Arbitration will be administered by a mutually agreed arbitration forum such as USIETAC, in accordance with that forum’s official procedural rules.
• Class Action Waiver: Each dispute must be resolved in individual arbitration. Consolidated or class action lawsuits are not permitted under this agreement.
• Opt-Out Right: You may opt out of this binding arbitration clause within thirty calendar days of your first use of the platform Services. To opt out, send a written notice to Veluno’s management team via email at [email protected] or to the physical address listed in the Veluno mobile app. The notice must include your full name, registered account email address and a clear statement that you are opting out of the arbitration clause.

19. Intellectual Property Statement

All video content uploaded by registered users to the Veluno platform must be original works created independently by the uploading user. Each uploading user must hold full intellectual property ownership rights, including but not limited to copyright, trademark, patent and trade secret rights, to the uploaded content. Registered users may not upload or publish any content that infringes on third-party intellectual property rights, including but not limited to unauthorized copying, adaptation, editing or clipping of externally owned video, audio, text or image files. When our moderation team identifies confirmed infringing content, Veluno has the immediate right to permanently delete the violating material, and reserves the right to pursue full legal liability against the responsible user. If Veluno suffers measurable financial losses as a direct result of the infringing conduct, the responsible user must fully compensate Veluno for all losses incurred.

20. Governing Law

These Terms shall be governed exclusively by the civil laws of the State of Delaware, excluding its conflict of law principles.

21. Severability

If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, that provision shall be severed and removed from the agreement, and all remaining provisions shall remain in full legal force and effect.

22. Supplementary Terms

Certain platform features such as official creator monetization programs may have separate supplementary terms. These supplementary terms will be shown to you when you first access the relevant feature, and will become legally binding parts of this agreement once you accept them.

23. General Terms

• Entire Agreement: These Terms of Service, together with our Privacy Statement and any supplementary feature terms, constitute the entire agreement between you and Veluno, superseding all prior oral or written agreements.
• No Third-Party Beneficiaries: This agreement does not grant any enforceable rights to any third party, including other Veluno users.
• Non-Waiver: If Veluno’s management team chooses not to enforce a particular provision of these Terms on one occasion, this does not waive our right to enforce that same provision in future cases of verified policy violation.
• Assignment: You may not assign or transfer your rights under these Terms without prior written approval from Veluno’s management team. Veluno may freely assign and transfer its rights and obligations under this agreement at its sole discretion.
• English Language Priority: If there is any conflict between translated versions of these Terms and the original English version, the original English version shall be the sole legally authoritative version.
